The By-Laws are being revised to adopt MCC recommendations and for clarity

2.	Pages 1,2,3,4,7,8,9	Eliminated references in all sections to corresponding MCC By–Laws since those can change over time
3.	Page 1	Article I: Deleted Mission, Vision and Values as inappropriate By-Law content
4.	Page 3	Article IV.B: changed to provide for the annual congregational Meeting to be held in November (rather than in the “fall”).
5.	Page 3	Article IV.D now allows notice of meetings in writing by any reasonable means, and not requiring “by mail.”
6.	Page 4	Article V.D: clarified that the Board shall consist of a minimum of 7 members and a maximum of 9, including the Pastor. Also added the ability of the Pastor to delegate the Chair position to another Board member.
7.	Page 4	Article V.D added the annual Leadership Covenant
8.	Page 4	Added new Article V.E, creating a Nominating Committee, based on information provided by Elders.
9.	Page 5	Article V.H: Deleted unclear and unnecessary language related to giving notice of an adjourned meeting.
10.	Page 5	Article V.I: Eliminated reference to Board President in favor of the title Board Chair
11.	Page 6	Article V.J, removed the reference to requiring that vacant Board positions be filled at the “Next regularly scheduled” Board meeting, granting more flexibility.
12.	Page 6 and Page 8	Article V.K and Article VII.G redefined the basis for removal of a Board Member or Lay Delegate to language recommended by Elders: “dereliction of duty, unbecoming conduct, or disloyalty” replaced “dereliction of responsibility or other just cause.”
13.	Page 6	Article V.L: Revised language of Limitation of Liability to that recommended by the Elders
14.	Page 6	Added language in Article V.N to disqualify more than one member of a family, and church employees (with the exception of the Pastor), and Clergy candidates from serving on the Board
15.	Page 7	Article VI.E.1: revised the composition of a Pastoral Search Committee to include less than the full Board (1/2 of Board Members plus an equal number of Members in good standing), as recommended by Elders (since the committee would otherwise be too large to be effective).
16.	Page 8	Article VII.C: changed the term for Lay Delegates from 2 to 3 years as required by MCC.
17.	Page 8	old Article VIII: Removed the article previously dealing with Teams, as inappropriate material for By-Laws
18.	Page 9	new Article VIII.B: Changed the approval requirement for a change in By-Laws to 2/3rds of Members present and voting at the meeting, rather than 2/3 of all Members.
